Athena Studio End User License Agreement

This End User License Agreement ("Agreement") is between you and [Company legal name] ("Novum Lab", "we"). By installing or using Athena Studio ("App"), you agree to this Agreement. If you do not agree, do not install or use the App.

1. License

Subject to this Agreement and, where applicable, an active subscription, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on Mac computers you own or control.

2. Subscription

  • Some or all features require a paid subscription. Plans, prices, and included features are shown at [pricing URL].
  • Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period.
  • Payments are processed by our payment provider [provider name]. Refunds follow [refund policy URL], except where the law requires otherwise.
  • We may change prices with at least [30] days' notice before your next renewal.
  • If a subscription ends or payment fails, paid features may stop working. [Offline grace period: the App may keep working without connecting to our servers for up to [N] days.]

3. Restrictions

You may not:

  • copy, modify, or create derivative works of the App, except as allowed by law;
  • reverse engineer, decompile, or disassemble the App, except to the extent the law expressly permits despite this restriction;
  • rent, lease, resell, sublicense, or share your account or license key;
  • remove or bypass license checks, notices, or security features.

4. Third-party services and your content

  • The App runs AI agents (for example Claude Code) and developer tools (for example git) on your computer. Your use of those services is governed by their own terms; you are responsible for your accounts with them and any fees they charge.
  • Optional: if you add your own TypeSafe Jev key, the App sends QA error details and learning notes to TypeSafe Jev (api.typesafe.ai). These may include parts of your code. Jev's own terms apply. Without a key, nothing is sent to TypeSafe Jev.
  • Your code, files, and repositories stay yours. The App does not send your code or files to Novum Lab servers.
  • You are responsible for reviewing changes, commits, and pull requests made by agents you run in the App.

5. Updates

We may provide updates. Some updates may be required to keep using the App or its paid features.

6. Ownership

The App is licensed, not sold. We and our licensors keep all rights, title, and interest in the App. Third-party components are licensed under their own terms (see THIRD_PARTY_NOTICES in the App).

7. Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, TO THE EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE APP OR AI-GENERATED OUTPUT WILL BE ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PURPOSE.

8. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, NOVUM LAB IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, CODE, OR PROFITS. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE APP IN THE [12] MONTHS BEFORE THE CLAIM.

9. Termination

This Agreement ends if you breach it or stop using the App. On termination you must stop using and delete the App. Sections 3, 6, 7, 8, and 10 survive.

10. Governing law

This Agreement is governed by the laws of [the Republic of Korea]. Disputes will be resolved in the courts of [Seoul Central District Court], unless consumer protection law in your country requires otherwise.

11. Changes

We may update this Agreement. We will notify you of material changes in the App or by email. Continuing to use the App after changes take effect means you accept them.
